NAFMII released the Template for Investor Protection Arrangements in Prospectus of Non-financial Enterprise Debt Financing Instruments (hereinafter referred to as the Template ) on October 12, 2020, an effort aiming for enhanced effectiveness of the Prospectus in protecting investors. The Template includes two parts: the Template for Important Notice section on investor protection arrangements and the Template for the section on Investor Protection Arrangements within the Prospectus. The Template provides the market players a recommended sample (not mandatory) when drafting the Prospectus, covering important investor protection arrangements such as bondholders meeting and bond trustee mechanism, bond default resolution and risk management, investor protection clauses (if any).
